1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Clinic24x7, a cloud-based dental practice management platform operated by Clinic24x7 Technologies Private Limited, a company incorporated in India and having its registered office at [REGISTERED ADDRESS IN BENGALURU, KARNATAKA, INDIA] ("Clinic24x7", "we", "us", or "our"). By registering for, accessing, or using the platform, you agree to be bound by these Terms. If you are using the platform on behalf of a clinic, dental practice, or other organization (the "Clinic"), you represent that you have the authority to bind that organization to these Terms.

2. Definitions & Roles

Under the Digital Personal Data Protection Act, 2023 (the "DPDP Act"):

• The Clinicis the "Data Fiduciary" for patient and clinical data it enters into Clinic24x7. The Clinic determines the purposes and means of processing personal data, is responsible for obtaining lawful consent from patients, and is the primary point of contact for patient rights requests.
• Clinic24x7acts as a "Data Processor" (processor on behalf of the Clinic) with respect to patient personal data. We process such data only on the Clinic's documented instructions and provide the technical and organizational measures described in our Privacy Policy.
• For account, billing, and lead data relating to the Clinic and its staff, Clinic24x7 may act as an independent Data Fiduciary.

3. Service Description

Clinic24x7 provides a multi-tenant, cloud-based practice management platform for dental clinics, including patient records, appointments, clinical documentation, dental charts, billing and invoicing, communications, and an optional AI Scribe feature. We reserve the right to modify, enhance, suspend, or discontinue any feature with reasonable notice, except where suspension is required to address a security or legal issue.

4. Account Registration & Responsibilities

You are responsible for maintaining the confidentiality of account credentials and for all activities that occur under your account. You agree to (a) provide accurate registration information, (b) keep contact and billing details current, (c) promptly notify us of any unauthorized access, and (d) ensure that staff accounts are revoked when employment ends. The Clinic is responsible for assigning appropriate roles and permissions to its users and for the lawful basis on which patient data is entered.

5. Acceptable Use

You agree not to: (a) use the platform for any unlawful purpose or in violation of applicable Indian law; (b) upload unlawful, defamatory, or infringing content; (c) attempt to gain unauthorized access to other tenants, systems, or data; (d) reverse-engineer, resell, or sublicense the platform except as expressly permitted; or (e) use the AI features to process data for which you lack a lawful basis. We may suspend accounts that violate this section.

6. Patient Data, Consent & the Clinic's Obligations

The Clinic is solely responsible for obtaining and recording valid consent from patients whose personal data is processed through Clinic24x7, including for communications (e.g., WhatsApp, SMS, email) and for any AI Scribe processing that involves clinical text. The Clinic warrants that it has a lawful basis under the DPDP Act and other applicable laws. Clinic24x7 is not a healthcare provider and does not practice medicine or dentistry.

7. AI Scribe & Third-Party Processing

The AI Scribe feature transmits dictated or typed clinical text to a Large Language Model provider configured by the Clinic. The providers currently supported are Anthropic, Groq, and Google Gemini (OpenAI, Azure OpenAI, Google Vertex AI, and self-hosted models are reserved for future support and not yet available). Clinical text processed by any of these providers may be processed outside India. The Clinic is responsible for assessing and, where required, disclosing such cross-border transfer to its patients, and for selecting providers consistent with its obligations under the DPDP Act. Clinic24x7 does not use this data to train models under its agreements with providers.

8. Subscription, Fees & Payments

Subscription fees are billed monthly or annually as selected at sign-up. All fees are denominated in Indian Rupees (₹) and are exclusive of applicable taxes, including Goods and Services Tax (GST). Payments are processed through the Clinic's configured payment gateway (e.g., Razorpay, Stripe, PayPal, Square). Fees are generally non-refundable except where required by law. We provide a free trial of up to 15 days for new accounts; paid features activate upon conversion. Pricing and plan entitlements are described in the order form or plan selected by the Clinic.

9. Renewals, Upgrades & Downgrades

Subscriptions auto-renew at the end of each billing period until cancelled. Upgrades take effect immediately and are prorated; downgrades and cancellations take effect at the end of the current billing period. The Clinic remains liable for fees incurred before the effective date of cancellation.

10. Suspension & Termination

We may suspend or terminate your access (a) for non-payment after a reasonable cure period, (b) for material breach of these Terms, (c) to comply with law or a court/regulatory order, or (d) to address a security threat. Upon termination, the Clinic may request export of its data for 30 days (handled manually by our team on request today; self-service tooling is in development); thereafter data is deleted per our retention policy. We will endeavor to provide notice before suspension except where prohibited by law or urgency requires otherwise.

11. Intellectual Property

Clinic24x7 and its licensors retain all right, title, and interest in the platform, including software, trademarks, and documentation. The Clinic retains ownership of the data it uploads and of its own marks. We grant the Clinic a limited, non-exclusive, non-transferable right to use the platform during the subscription term. Feedback provided may be used to improve the service.

12. Medical & Professional Disclaimer

Clinic24x7 is a software tool and does not provide medical, dental, or clinical advice. Any clinical content, suggestions, or outputs (including those generated by AI Scribe) are aids for professional judgment and do not substitute for the independent judgment of a qualified practitioner. The Clinic and its practitioners are solely responsible for all clinical decisions, diagnoses, prescriptions, and patient care.

13. Disclaimers of Warranty

The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted or error-free operation. We do not represent that the service is HIPAA- or DPDP-certified; security measures are described in our Privacy Policy.

14. Limitation of Liability

To the maximum extent permitted by law, Clinic24x7 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or business, arising from use of the platform. Our aggregate liability for any claim shall not exceed the fees paid by the Clinic in the twelve (12) months preceding the event giving rise to the claim. Nothing herein limits liability that cannot be excluded under applicable Indian law.

15. Indemnification

The Clinic agrees to indemnify and hold harmless Clinic24x7 and its officers, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from (a) the Clinic's use of the platform, (b) patient data it enters or processes, including consent failures, (c) breach of these Terms, or (d) violation of applicable law.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. The parties agree to attempt resolution of disputes through good-faith negotiation and, failing that, binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, Karnataka, India, and proceedings shall be conducted in English. Nothing in this section limits the right of either party to seek urgent interim relief from a court of competent jurisdiction in Bengaluru.

17. Changes to These Terms

We may update these Terms to reflect changes in the service or law. Material changes will be communicated to registered clinic admins with at least 30 days' notice before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
